The company says the fiscal Q4 loss of $2.9 billion included a $2.18 billion goodwill charge, a $304.3 million hit for acquisition-related expenses, and restructuring costs of $93.3 million.

What is a Goodwill Charge?

Think of it as a Bonus... Let's say you have a business worth $5 Million Dollars, but I pay you $6 Million to acquire you; that $1 Million is the Goodwill Charge. So in this case Take-Two paid $2.18 Billion dollars extra to acquire a company's assets along with a bonus because of it's reputation.
