two significant reasons

1. CONTROL ......... Def Jam still felt that inspite of their unwillingness to promote the P.E brand much less push their forthcoming LP in 1999 called "There is a Poison Going On"....they didn't want them to walk away with that master recording which they felt THEY were entitled to along with the fact that Chuck D. was one of the first to start merchandising the P.E logo, brand which was recognized worldwide ..they couldn't let that just walk away out of their grips....it would be like De Ja Vu when the BEASTIE BOYS jumped ship to Capitol Records, and Def Jam had to not only explain but come up with bread to their parent company CBS/SONY to cover the breach.

2. FEAR..........keep in mind this was 1999 ...and Napster made impact in 99 because it was the first peer to peer software sharing site to make a significant impact on the music industry and downloading in general and also gave artists independent and major label acts the incentitive to take affairs to their own hands by reaching their target audience more directly without the traditional music distributor in the way........P.E hopped on this opportunity by offering to SELL THIER ALBUM WITHOUT DEF JAM consent on their own website....LYOR COHEN aka DR. NO ......stepped in to try to block this from happening...simply because it was something not only DEF JAM feared but every label would have to soon realize that TRADITIONAL RECORD DISTRIBUTION IS NOT NECCESARY if an artist became proactive with the INTERNET
